These Affiliate Program Terms of Service (“Agreement”) govern participation in the Telezen MD Affiliate Program (the “Program”) operated by Telezen MD LLC, located at 2999 NE 191st Street, Suite 330, Aventura, FL 33180 (“Telezen MD,” “we,” “us,” or “our”). By applying to, being accepted into, or participating in the Program, the individual or entity (“Affiliate,” “you”) agrees to be bound by this Agreement, our Privacy Policy, and our general Terms of Service, all of which are incorporated by reference.
We may amend this Agreement at any time by posting updated terms and notifying active Affiliates by email or through the affiliate portal. Continued participation after an amendment takes effect constitutes acceptance of the revised terms.
“Affiliate Link” means a unique tracking URL, code, or coupon assigned to an Affiliate for the purpose of attributing referrals.
“Commission” means the compensation payable to an Affiliate for a Qualifying Action, as described in Section 5.
“Qualifying Action” means a new-patient enrollment (and payment of the first invoice) in a Telezen MD program, completed through an Affiliate Link and meeting the criteria in Section 5.
“Program Content” means Telezen MD marketing assets, brand guidelines, creative, copy, and trademarks made available to Affiliates.
“Patient” or “Referral” means an individual who engages Telezen MD’s telehealth services as a result of an Affiliate’s promotional activity.
To participate in the Program, you must:
– Be at least 18 years of age and legally capable of entering into a binding contract.
– Complete the affiliate application and be approved by Telezen MD in its sole discretion.
– Not be a current or former Telezen MD patient promoting the Program in a manner that misrepresents your clinical outcome as typical or guaranteed.
– Not be a licensed healthcare provider using the Program in a way that would violate professional conduct rules, fee-splitting laws, or anti-kickback statutes applicable to your license.
– Comply with all applicable laws in the jurisdiction(s) where you market, including advertising, healthcare, and consumer-protection laws.
Telezen MD reserves the right to reject any application, and to suspend or terminate any Affiliate account, at its sole discretion, with or without cause.
Upon approval, Affiliate will receive a unique Affiliate Link and/or promo code. Referrals are tracked via cookie and/or attribution parameters for a period of 45 days from the date of last click (“Attribution Window”). Telezen MD’s tracking system is the sole and final source of truth for attributing Qualifying Actions, absent demonstrated technical error.
– Affiliate may not alter, obscure, or misrepresent the destination of an Affiliate Link.
– Affiliate may not use the Affiliate Link in paid search campaigns bidding on “Telezen,” “Telezen MD,” or confusingly similar branded terms, without prior written approval.
– Affiliate may not apply the Affiliate Link to their own purchases or those of immediate family/household members for the purpose of generating self-referral Commissions.
– Cookie-stuffing, forced clicks, incentivized clicking, or any artificial inflation of click or conversion data is strictly prohibited and grounds for immediate termination and forfeiture of unpaid Commissions.
Telezen MD will pay Affiliate a flat Commission of between $50 and $250 per Qualifying Action, with the exact flat fee determined by which Telezen MD therapy or program the Referral enrolls in (e.g., GLP-1 weight loss, peptides, NAD+, hormone optimization). This flat fee is paid once per Qualifying Action regardless of the plan or billing term the Referral selects (e.g., monthly, quarterly, or a higher-tier plan). The exact flat fee for each therapy or program is set and disclosed to Affiliate within the affiliate program/portal, and may be updated by Telezen MD from time to time. Rate changes apply prospectively to Qualifying Actions occurring after the effective date of the update and do not affect Commissions already earned.
– The Referral must be a new patient who has not previously enrolled with Telezen MD.
– The Referral must complete intake, be evaluated by a Telezen MD provider, and remit payment for their first billing cycle.
– Commissions are subject to a chargeback/refund holdback period of 30 days; Commissions tied to a Referral who cancels, requests a refund, or is refunded under Telezen MD’s guarantee within that window will be reversed or deducted from future payouts.
Approved Commissions are paid once a month. Affiliate must select a payment method from the options available within the affiliate portal and keep that selection current; Telezen MD will remit payment to the selected method. Payment is contingent on the Affiliate having reached the minimum payout threshold of $50 and having submitted any required tax documentation (e.g., Form W-9 for U.S. persons, Form W-8BEN for non-U.S. persons). Telezen MD may withhold payment pending resolution of suspected fraud, policy violations, or incomplete tax documentation.
Affiliate is solely responsible for any taxes owed on Commissions earned. Telezen MD will issue Form 1099-NEC (or applicable equivalent) to U.S. Affiliates who meet IRS reporting thresholds.
Affiliate participates in the Program as an independent contractor. Nothing in this Agreement creates an employment, partnership, joint venture, franchise, or agency relationship between Telezen MD and Affiliate. Affiliate has no authority to bind Telezen MD to any obligation, make representations on Telezen MD’s behalf beyond the approved Program Content, or act as a healthcare provider, medical spokesperson, or clinical authority unless separately licensed and contracted to do so.
Affiliate marketing of Telezen MD is subject to heightened compliance standards because the Program relates to prescription medications and medical care. Affiliate agrees to the following without exception:
– Affiliate must clearly and conspicuously disclose the affiliate/material relationship with Telezen MD in every post, page, video, or message promoting the Program, in accordance with FTC Endorsement Guides (e.g., “#ad,” “#TelezenMDPartner,” or equivalent, placed where it cannot be missed).
– Disclosures must appear before any link or call-to-action, not buried in a bio, “more” section, or hashtag block at the end of a long caption.
– No guaranteed, typical, or specific weight-loss outcomes, timelines, or numeric results may be promised or implied (e.g., “lose 30 lbs in 30 days”).
– No claims that GLP-1 medications, peptides, NAD+, or hormone therapy are risk-free, side-effect-free, or appropriate for everyone.
– No medical, diagnostic, or dosing advice may be given by Affiliate under any circumstance.
– No use of before/after body imagery, patient photos, or patient testimonials without Telezen MD’s prior written consent and, where applicable, the patient’s signed release.
– No representation that Affiliate is a Telezen MD physician, clinician, or employee unless true and approved.
– No paid advertising on any platform in a manner that violates that platform’s health, pharmaceutical, or weight-loss advertising policies.
– No use of the words “appointment,” “consultation,” or “seen by” when describing the patient process; use “intake” or “evaluation” language consistent with Telezen MD’s approved copy.
– No naming of Telezen MD’s backend technology vendors or systems in public-facing content.
 Telezen MD grants Affiliate a limited, non-exclusive, non-transferable, revocable license to use Program Content and Telezen MD’s name and logo solely to promote the Program during the term of this Agreement, subject to Telezen MD’s brand guidelines. This license does not extend to Telezen MD’s proprietary program marks, which may only be referenced verbatim, with proper trademark symbols, and without alteration:

– The GLP-1 Nutrition Protocolâ„¢
– The Rewire Methodâ„¢
Affiliate may not register, or attempt to register, any domain name, social handle, or trademark that incorporates “Telezen,” “Lose It for Life,” “The GLP-1 Nutrition Protocol,” “The Rewire Method,” or any confusingly similar variation. All goodwill arising from use of Telezen MD’s marks inures solely to Telezen MD.
Telezen MD reserves the right to request removal or revision of any Affiliate content that it reasonably believes violates this Section, applicable law, or platform policy. Affiliate must comply within 48 hours of notice.
Affiliate will not collect, request, store, or transmit any protected health information (PHI) of Referrals. Affiliate is not a covered entity or business associate of Telezen MD under HIPAA and must direct any Referral’s health-related questions to Telezen MD’s clinical intake process rather than attempting to answer them directly.
Affiliate agrees to keep confidential any non-public information disclosed by Telezen MD, including Commission rates, internal performance data, unreleased Program Content, and business strategy, and to use such information solely to perform under this Agreement.
This Agreement remains in effect until terminated by either party. Telezen MD may suspend or terminate an Affiliate’s participation immediately, without notice, for violation of Section 4, 7, or 8, for fraudulent activity, or for conduct that damages Telezen MD’s reputation. Either party may terminate this Agreement for convenience with 15 days’ written notice.

Upon termination, Affiliate must immediately cease use of all Telezen MD trademarks and Program Content and deactivate all Affiliate Links. Commissions earned on Qualifying Actions completed prior to termination, and that survive the holdback period in Section 5.2, remain payable; Commissions related to any violation giving rise to termination for cause are forfeited.
THE PROGRAM AND PROGRAM CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELEZEN MD’S TOTAL LIABILITY TO AFFILIATE UNDER THIS AGREEMENT WILL NOT EXCEED THE COMMISSIONS PAID TO AFFILIATE IN THE THREE (3) MONTHS PRECEDING THE CLAIM. TELEZEN MD IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS.
Affiliate agrees to indemnify and hold harmless Telezen MD, its officers, physicians, and affiliates from any claims, losses, or damages arising from Affiliate’s marketing content, breach of this Agreement, violation of law, or misrepresentation of Telezen MD’s services.
This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute arising under this Agreement will be resolved through binding arbitration in Miami-Dade County, Florida, and the prevailing party may be entitled to reasonable attorneys’ fees.
– Entire Agreement: This Agreement, together with any Addendum, constitutes the entire agreement between the parties regarding the Program.
– Assignment: Affiliate may not assign this Agreement without Telezen MD’s prior written consent; Telezen MD may assign this Agreement in connection with a merger, acquisition, or sale of assets.
– Severability: If any provision is held unenforceable, the remaining provisions remain in full force.
– No Waiver: Failure to enforce any provision is not a waiver of the right to do so later.
– Notices: Notices under this Agreement will be sent to the email address on file for each party.
